Job Description & Key Responsibilities
The Paralegal and Compliance Specialist will be responsible for providing support to the corporate and management team with legal matters. The incumbent will have a strong understanding of corporate and employment law
Specific responsibilities include:
- Conducting legal research and monitoring the evolution of the legal landscape.
- Ensure compliance with all applicable laws, regulations, and company policies.
- Prepare, review, and summarize legal correspondences and documents, contracts, agreements, reports, presentations, and other materials.
- Reviewing matters, drafting pleadings, motions and correspondence.
- Processing defenses / defended actions.
- Maintaining legal databases and document management systems, a calendar of legal proceedings and hearings, and logging litigation file statuses.
- Managing agreements nearing expiry and liaising with the business regarding renewals.
- Coordinate the preparation and filing of legal documents with government agencies.
- Reporting to and updating key stakeholders on the development of legal matters.
- Facilitate correspondence between lawyers and internal/external parties, answering communications and inquiries for legal matters.
- Assist the team compliance with pharmaceutical industry codes, guidelines and codes
- Draft and manage appropriate policies to ensure compliance with applicable laws , regulations, Xediton policies and industry code
- Assisting in project management tasks as needed.

Qualifications
- Post-secondary education in Paralegal studies, legal administration, or a related field. (Certification from an accredited paralegal program is preferred.)
- Minimum of 3 years of experience as a Paralegal
- Strong understanding of legal terminology, provincial, and federal legislation.
- Strong knowledge of corporate governance practices, including the creation and maintenance of entities (corporations, LLPs, etc.).
- Robust legal drafting skills including legal letters, notices, and preparation of corporate documents such as resolutions, bylaws, articles of incorporation / amalgamation / dissolution, mergers / acquisitions, etc.
- Excellent research, analytical, detail-orientation, prioritization and organizational skills.
- Proficiency in Microsoft Office Suite and legal research databases.
- Exceptional written and verbal communication skills with the ability to manage, understand, and clearly explain complex contract structures.
- Ability to work independently and manage multiple tasks simultaneously.
- High level of integrity, confidentiality and professionalism.
Salary
$60,000 to $70,000 per annum
